Project Acceptance

A project will be considered officially accepted only after:

  • The quotation or proposal has been approved by the client.
  • The required advance payment has been received.
  • Necessary project information has been provided.
  • Both parties have agreed on the project scope.

Work will not commence until these requirements have been satisfied.

Payment Terms

Unless otherwise agreed in writing:

  • A 50% advance payment is required before work begins.
  • The remaining balance must be paid before the final delivery, website migration, source code release, or project handover.
  • Certain services may require full payment in advance.
  • Payments may be accepted through approved payment methods made available by Imagix Solutions.
  • Any bank charges, currency conversion fees, or third-party payment processing fees remain the responsibility of the customer unless otherwise agreed.

Late Payments

Failure to make payments on time may result in:

  • Suspension of work.
  • Delayed project delivery.
  • Temporary suspension of support services.
  • Suspension of website deployment.
  • Suspension of account access where applicable.

Imagix Solutions reserves the right to resume work only after outstanding payments have been received.

Project Scope

Each project is completed according to the agreed quotation, proposal, or written requirements.

Any request outside the agreed scope shall be treated as additional work and may result in:

  • Additional charges.
  • Revised delivery timelines.
  • Updated quotations.

Verbal discussions do not automatically modify the agreed project scope unless confirmed in writing.

Client Responsibilities

To ensure timely project completion, clients are responsible for:

  • Providing complete and accurate project requirements.
  • Supplying content, text, logos, images, videos, and branding materials.
  • Providing required business documents where applicable.
  • Reviewing submitted work within a reasonable period.
  • Making payments on time.
  • Providing clear feedback and approvals.

Delays caused by the client may affect the agreed delivery schedule.

Delivery Timeline

Our standard project delivery target is within two (2) weeks, depending on the complexity of the project and timely cooperation from the client.

Delivery timelines may be extended due to:

  • Late content submission.
  • Additional feature requests.
  • Delayed client approvals.
  • Third-party service delays.
  • Technical issues beyond our reasonable control.
  • Public holidays or force majeure events.

Estimated delivery dates are provided in good faith but are not guaranteed unless expressly agreed in writing.

Revisions

Reasonable revisions relating to the originally agreed project scope may be provided.

Revision requests must:

  • Be submitted within a reasonable period after delivery.
  • Relate to previously approved requirements.
  • Not introduce entirely new functionality.

Requests involving new features, redesigns, or significant changes may be quoted as separate work.

Client Delays

If a client fails to provide required materials, approvals, or responses within a reasonable timeframe, Imagix Solutions may:

  • Pause the project.
  • Reallocate development resources.
  • Revise delivery timelines.
  • Request updated project schedules.

Where a project remains inactive for an extended period due to client inactivity, it may be archived. Reactivation may require additional fees depending on the work involved.

Website Development Services

Website development services are customised according to each client's approved requirements.

Unless specifically included in the quotation, services do not automatically include:

  • Content writing.
  • Logo design.
  • Premium stock images.
  • Premium software licences.
  • Third-party subscriptions.
  • Search engine rankings.
  • Ongoing maintenance.
  • Future feature additions.

Clients should carefully review quotations to understand what is included.

Mobile Application Development

Mobile applications are developed according to the agreed specifications.

Publication to platforms such as app stores may require compliance with third-party policies and approval processes, which are outside the control of Imagix Solutions.

Approval, rejection, or removal of an application by any third-party platform is not the responsibility of Imagix Solutions.

Advertising Services

Advertising services may include:

  • Advertisement creation.
  • Advertisement publishing.
  • Campaign management.
  • Social media promotions.
  • Digital marketing.

While we use commercially reasonable efforts to maximise campaign effectiveness, Imagix Solutions does not guarantee:

  • Sales.
  • Revenue.
  • Profit.
  • Customer enquiries.
  • Lead generation.
  • Search rankings.
  • Viral reach.
  • Specific marketing results.

Marketing outcomes depend on many factors outside our control.

Online Courses

Access to online courses is provided for the registered purchaser only.

Unless expressly authorised in writing, users must not:

  • Share login credentials.
  • Distribute course materials.
  • Record course content.
  • Upload course content elsewhere.
  • Resell educational materials.

Imagix Solutions reserves the right to suspend access where unauthorised sharing or misuse is detected.

Digital Products

Digital products are licensed for the purchaser's permitted use only.

Customers must not:

  • Redistribute.
  • Resell.
  • Copy for commercial resale.
  • Modify for unlawful purposes.
  • Remove copyright notices.

Ownership of intellectual property remains with Imagix Solutions unless otherwise agreed in writing.

Payment Gateway Setup Services

Imagix Solutions provides technical assistance with payment gateway integration and setup.

However:

  • Approval decisions are made solely by the payment gateway provider or financial institution.
  • We cannot guarantee account approval.
  • We cannot guarantee verification success.
  • Clients remain responsible for providing accurate documentation.
  • Any delays caused by third-party payment providers are outside our control.

Technical Support

Support is available through:

  • Email
  • WhatsApp

Our target is to respond as promptly as reasonably possible. Availability may vary depending on business hours, public holidays, and the nature of the enquiry.

Support does not automatically include additional development work, redesigns, or new features unless separately agreed.

Refund and Cancellation

Refunds and cancellations are governed by our separate Refund & Cancellation Policy, which forms part of these Terms.

By purchasing any service or product from Imagix Solutions, you agree to both these Terms and our Refund & Cancellation Policy.

Unless otherwise stated in writing:

  • Website Development projects require a 50% non-refundable advance payment.
  • Once work has commenced, the advance payment will not be refunded.
  • Online Courses are non-refundable after access has been granted.
  • Digital Products are non-refundable after delivery.
  • Advertising Services are non-refundable once a campaign has been approved, scheduled, or published.

Intellectual Property Rights

Unless otherwise agreed in writing, all intellectual property created by Imagix Solutions remains the property of Imagix Solutions until full payment has been received.

This includes, but is not limited to:

  • Source Code
  • Website Designs
  • Mobile Applications
  • Graphics
  • Logos created by us
  • UI/UX Designs
  • Templates
  • Documentation
  • Marketing Materials
  • Course Materials
  • Software Components

No ownership rights are transferred until all outstanding payments have been settled.

Source Code Ownership

Upon receipt of full payment, ownership of custom-developed source code specifically created for the client may be transferred, unless otherwise stated in the quotation or agreement.

Imagix Solutions retains ownership of:

  • Internal development tools
  • Frameworks
  • Reusable code libraries
  • Development methodologies
  • Proprietary systems
  • Pre-existing software
  • Generic components used across multiple projects

These components may continue to be used in future projects.

Client Content

The client confirms that all content supplied to Imagix Solutions, including:

  • Text
  • Images
  • Videos
  • Logos
  • Documents
  • Trademarks

either belongs to the client or is used with proper authorisation.

The client accepts full responsibility for any copyright infringement, trademark disputes, or legal claims arising from materials supplied by the client.

Domain Names and Hosting

Where Imagix Solutions assists with:

  • Domain Registration
  • Web Hosting
  • Email Hosting
  • DNS Configuration

these services may be provided through third-party providers.

The client acknowledges that:

  • Renewal fees remain the client's responsibility unless a maintenance agreement states otherwise.
  • Downtime caused by hosting providers is outside the control of Imagix Solutions.
  • Third-party provider policies apply to those services.

Third-Party Software

Projects may incorporate third-party software, plugins, APIs, frameworks, or libraries.

These may include both free and commercial products.

Imagix Solutions is not responsible for:

  • Future licensing changes.
  • Price increases by third-party providers.
  • Software discontinuation.
  • Policy changes.
  • Compatibility changes introduced by third-party developers.

Additional costs arising from third-party software are the responsibility of the client unless otherwise agreed.

Confidentiality

Imagix Solutions respects the confidentiality of client information.

Both parties agree to keep confidential information private, including:

  • Business strategies.
  • Technical documentation.
  • Login credentials.
  • Financial information.
  • Project materials.
  • Trade secrets.

This obligation continues even after project completion, except where disclosure is required by law or authorised by the client.

Website Security

While Imagix Solutions follows industry best practices when developing websites and applications, we cannot guarantee that any website or application will be completely free from:

  • Cyber attacks.
  • Malware.
  • Viruses.
  • Hacking attempts.
  • Third-party vulnerabilities.

Clients are encouraged to:

  • Maintain secure passwords.
  • Keep software updated.
  • Renew hosting and domains on time.
  • Maintain regular backups.

Maintenance and Updates

Unless included within a separate maintenance agreement, ongoing maintenance, software updates, content updates, security monitoring, or feature enhancements are not included after project delivery.

Additional work requested after project completion may be quoted separately.

Warranty

Imagix Solutions provides a limited warranty only for errors directly caused by our development work within the originally agreed project scope.

Where an issue is determined to be our responsibility, we will make reasonable efforts to correct it free of charge.

This warranty does not cover:

  • Changes made by the client or third parties.
  • Hosting issues.
  • Browser updates.
  • Third-party software failures.
  • API changes.
  • Misuse of the website.
  • New feature requests.

Service Suspension

Imagix Solutions reserves the right to suspend or refuse services where:

  • Fraud is suspected.
  • Payments remain outstanding.
  • False information has been provided.
  • Illegal activity is detected.
  • These Terms have been violated.
  • Abuse or harassment of staff occurs.

Suspension does not remove the customer's responsibility to pay outstanding fees.

Fraud Prevention

To protect our customers and business, we reserve the right to:

  • Verify identities.
  • Request supporting documentation.
  • Delay suspicious transactions.
  • Cancel fraudulent orders.
  • Report unlawful activities to relevant authorities where required.

Any attempt to use stolen payment methods, forged documents, or false identities may result in immediate termination of services.

Chargebacks and Payment Disputes

Customers agree to contact Imagix Solutions before initiating a chargeback or payment dispute.

Where a chargeback is found to be fraudulent or unjustified, Imagix Solutions reserves the right to:

  • Suspend services.
  • Terminate user accounts.
  • Recover outstanding fees.
  • Seek legal remedies available under applicable law.

Limitation of Warranty

Except as expressly stated in writing, all services and digital products are provided on an "as available" and "as is" basis.

Imagix Solutions does not guarantee that:

  • Every advertising campaign will generate sales.
  • Every payment gateway application will be approved.
  • Every website will remain permanently compatible with future technologies.
  • Every online service will operate without interruption.

Business success depends on numerous external factors beyond our control.

No Professional Advice

Nothing provided by Imagix Solutions constitutes legal, financial, accounting, tax, investment, or other regulated professional advice.

Limitation of Liability

Our total liability in relation to any claim arising from a specific service shall not exceed the amount actually paid by the customer for that service, unless otherwise required by applicable law.

Force Majeure

Imagix Solutions shall not be liable for delays or failure to perform obligations caused by events beyond our reasonable control, including but not limited to:

  • Natural disasters.
  • Floods.
  • Fires.
  • Epidemics or pandemics.
  • Government actions.
  • Civil unrest.
  • War or terrorism.
  • Internet outages.
  • Power failures.
  • Cyber attacks.
  • Labour disputes.
  • Failure of third-party service providers.

During such events, performance of affected obligations may be suspended until normal operations resume.

Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Democratic Socialist Republic of Sri Lanka.

Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Sri Lanka.

Where appropriate, the parties are encouraged to attempt an amicable resolution before commencing legal proceedings.

Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

The invalid provision shall, where possible, be interpreted in a manner that best reflects its original intent.

No Waiver

Failure by Imagix Solutions to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.

Any waiver must be made expressly in writing by an authorised representative of Imagix Solutions.

Entire Agreement

Assignment

Imagix Solutions may assign or transfer its rights and obligations under these Terms as part of a merger, acquisition, restructuring, or transfer of business.

Users may not assign or transfer their rights or obligations under these Terms without our prior written consent.
